Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) are an agreement between you and Oryn (“Oryn”, “we”, “us”) governing your use of the Oryn platform — a messaging automation service for WhatsApp, Instagram, and Facebook Messenger. By creating an account or using the service, you accept these Terms on behalf of yourself and, if you use Oryn for an organization, on behalf of that organization. If you do not agree, do not use the service.

2. Account Registration

You must provide accurate information when creating an account and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account. You must be at least 16 years old and legally able to enter into contracts. Notify us immediately at support@oryn.ai if you suspect unauthorized access to your account.

3. Acceptable Use

Oryn sends and receives messages through Meta’s official APIs, so your use must comply with the WhatsApp Business Messaging Policy and Meta’s platform policies, in addition to these Terms. You agree not to:

• send spam or messages to people who have not opted in to hear from you;
• use the service for unlawful, deceptive, harassing, or harmful content, or content that infringes others’ rights;
• attempt to probe, disrupt, or gain unauthorized access to the service or other customers’ data;
• resell or white-label the service without a written agreement with us; or
• use the service in violation of applicable law, including privacy, telemarketing, and consumer-protection laws in the places you message people.

We may suspend or terminate accounts that violate this section. Meta may independently restrict channels that violate its policies; we are not responsible for actions Meta takes against your WhatsApp number, Instagram account, or Facebook Page.

4. Payment and Billing

Paid plans are billed in advance, monthly or annually, through Stripe or Razorpay. Paid plans start with a 7-day free trial; no payment method is required to start a trial, but one is required to continue sending after it ends. Meta’s per-conversation charges for WhatsApp are passed through at cost with no markup. Usage beyond your plan’s quotas may be billed as overage as described on the pricing page, and we notify you before overage billing begins. We offer a 14-day money-back guarantee on paid plans; otherwise fees are non-refundable except where required by law. Prices may change with at least 30 days’ notice, taking effect at your next billing cycle. Upgrades are prorated; downgrades take effect at the next billing period.

5. Your Data and Intellectual Property

You retain all rights to the content and data you bring to Oryn — your messages, contacts, templates, and knowledge-base content. You grant us a license to process that data solely to provide the service, as described in our Privacy Policy. Oryn and its software, design, and branding remain our intellectual property; these Terms grant you a limited, non-exclusive, non-transferable right to use the service while your subscription is active. You are the data controller for the personal data of the people you message; you are responsible for having a lawful basis to contact them.

6. Service Availability and Disclaimers

Oryn is in early access. The service is provided “as is” and “as available”, without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. We depend on Meta’s APIs and other third-party providers, and we do not warrant uninterrupted or error-free operation. AI-generated replies are produced by machine-learning models and may be inaccurate; you are responsible for reviewing the automations you enable and the messages sent on your behalf.

7. Limitation of Liability

To the maximum extent permitted by law, Oryn will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the service. Our total aggregate liability for any claim arising out of these Terms is limited to the amount you paid us in the twelve months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law.

8. Termination

You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the current billing period. We may suspend or terminate your access for material breach of these Terms, with notice where practicable. After termination, your data is deleted as described in the Privacy Policy; you can export your contacts and message history before closing your account.

9. Changes to These Terms

We may update these Terms as the service evolves. Material changes will be announced by email or in-product notice at least 14 days before they take effect. Continuing to use the service after changes take effect constitutes acceptance of the updated Terms.
